Napatech A/S : Chairman Mr. Olav Stokke resigns due to health reasons

COPENHAGEN, Denmark, January 20, 2017 - Napatech, today announced that Mr. Olav Stokke is resigning as Chairman of the board of directors due to health reasons.

Mr. Olav Stokke, Chairman of the Board of Directors of Napatech, has been hospitalized due to serious illness. Because of an expectedly long convalescence, Mr. Stokke will be unable to fulfil his obligations and duties as Chairman of the Board of Directors.

Therefore, Mr. Stokke, has withdrawn with immediate effect from his position as a member of the Board of Directors of Napatech. At a board meeting on January 19th, 2017, the Board of Directors elected Mr. Lars B. Thoresen Chairman of the Board and he will initiate the process to search for an additional Board Member together with the Nomination Committee. Mr. Stokke wishes the Company all the best in the future.

Pursuant to the Danish Corporate Act ("selskabsloven") art. 121(2), the board of directors will as soon as practical register the change to the board with the Danish Business Authority ("Erhvervsstyrelsen") and will ensure that a new member of the board is elected at the coming ordinary general assembly in April 2017.

It is with great sadness that the management of Napatech and the Board of Directors have had to accept the resignation of Olav under such difficult circumstances. We extend all our thoughts to Olav and his family in this difficult time and wish him a full recovery.

Since 2008 Mr. Stokke has been very active and engaged with Napatech. Along with overseeing the growth of the company, he was instrumental in preparing and supporting the listing of Napatech on the Oslo stock exchange in 2013. Since that time, he has helped to continuously improve the processes and governance that has enabled Napatech to efficiently manage the requirements of being a listed company.

We extend our thanks and appreciation to him for all his many contributions that have made Napatech successful and will pave the way for Napatech's growth in the coming years.
